These Terms of Service ("Terms") govern your access to and use of MyCompanion, available at myclosecompanion.com and any related subdomains (the "Service"), operated by NFEL Technologies ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Description of the Service

MyCompanion is an AI-powered personal companion that can, at your direction and with your authorization: read and manage your calendar (Google Calendar and/or Microsoft Outlook), read and summarize documents in a connected Google Drive or OneDrive folder, track to-dos and recurring tasks, and hold conversations to help with scheduling, document review, and daily accountability.

2. Eligibility and Accounts

You must be at least 16 years old to use the Service. You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at contact@myclosecompanion.com if you suspect unauthorized use of your account.

3. Connecting Third-Party Accounts

Connecting a Google or Microsoft account, or a third-party calendar feed, is optional and requires your explicit authorization. By connecting an account, you represent that you have the right to grant us the access requested. Your use of those third-party services remains subject to their own terms of service — we aren't responsible for their availability, changes, or conduct. You can disconnect a linked account at any time from Settings.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose, or in a way that violates any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Use the Service to harass, abuse, or harm another person.
• Reverse-engineer, scrape, or interfere with the normal operation of the Service.
• Use the Service to process calendar or document data you don't have the right to access.

We may suspend or terminate accounts that violate this section.

5. AI-Generated Content — Please Read

The Service uses an AI model to generate summaries, replies, scheduling suggestions, and reminders. AI-generated content can be incomplete, inaccurate, or out of date. In particular:

• Do not rely solely on the companion's reminders, summaries, or suggested reschedules for time-critical, medical, legal, financial, or otherwise high-stakes matters. Always verify important calendar events and document details yourself.
• Calendar changes (creating, moving, or canceling events) are made based on your instructions as interpreted by the AI model. Review any confirmation the companion gives you before assuming a change has been made correctly.
• Document summaries are AI-generated interpretations, not verified extracts. Refer to the original document for anything that matters.

6. Your Content

You retain ownership of the calendar data, documents, to-dos, and messages you provide to the Service ("Your Content"). You grant us a limited license to access, process, and store Your Content solely to provide and improve the Service, as described in our Privacy Policy.

7. Intellectual Property

The Service, including its design, branding, and underlying software (excluding Your Content and third-party services we integrate with), is owned by us and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks or branding.

8. Fees

As of the date of these Terms, the Service is offered free of charge. We may introduce paid plans or features in the future; if we do, we'll provide notice and update these Terms accordingly before any charges apply to your account.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NFEL TECHNOLOGIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, MISSED APPOINTMENTS, OR SCHEDULING ERRORS ARISING FROM YOUR USE OF THE SERVICE, INCLUDING RELIANCE ON AI-GENERATED CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED $100 USD (or the amount you paid us in the past 12 months, if the Service is no longer free at the time of the claim).

Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Termination

You may stop using the Service and request account deletion at any time (see our Privacy Policy). We may suspend or terminate your access if you violate these Terms, or discontinue the Service (or any part of it) at our discretion, with reasonable notice where practicable.

12. Changes to the Service or These Terms

We may modify or discontinue features of the Service, and may update these Terms from time to time. We'll update the "Last updated" date above and, for material changes, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Fort Bend County, Texas, and you consent to that jurisdiction.
